Associate - Legal, Societe Generale Bank India (Mumbai)
Job Summary:
To support the business and internal stakeholders in India by providing end to end legal and regulatory advisory support, with principal focus on banking and finance, companies law, FEMA regulations, capital markets documentation.
The role involves managing legal and regulatory risk, advising on cross border transactions and treasury activities, and monitoring developments under RBI, FEMA, Companies Act and allied regulations applicable to financial institutions and corporate operations in India.
Key Responsibilities:
Providing legal advice focusing on the services and activities of Societe Generale in India, and particularly Societe Generale India branches in relation to wholesale banking, including supporting the Global Markets, Structured Finance, Trade Finance, Payments and Cash Management, Transaction Banking business lines.
Drafting, negotiating and review of related documentation and liaising with external counsel where necessary.
Providing legal advice and assistance on legal matters to the front office, back office and middle office representatives and other teams or departments of the Bank (including other legal teams in Asia and Europe) in connection with the above.
Assisting on the legal aspects of any new business development opportunities in India proposed by the business lines.
Tracking legal and regulatory developments in India and providing assistance in updating guidelines, procedures and standard templates.
Reporting and escalating appropriate matters on an ongoing and regular basis to line manager and working closely with other members of the legal and other departments in APAC and Europe.
Providing support in managing any litigation(s) in India in conjunction with external counsel.
Conducting training and awareness workshops for staff on legal matters.
Ad hoc support to SG Securities India Private Limited on legal matters and negotiations.
Reviewing transversal service and supply contracts, outsourcing agreements.
Academic Background (degree and major): Law Degree from a recognized Indian university.
Relevant Working Experience in number of years:
6 to 8 years of post-qualification experience preferably with a leading international financial institution and/or a top tier international or Indian law firm.
Prior in-house legal exposure in a regulated financial environment is a major advantage.
Skills & Competencies required:
Sound knowledge and understanding of Indian laws and regulations in relation to contracts, banking/treasury/securities/financing activities and a working knowledge of related areas of law and the regulatory environment;
Experience in structuring, drafting and negotiating legal documentation;
Discipline and professionalism: strong organizational, time management, prioritization and communication skills; the ability to work under pressure and manage deadlines; and working in a team;
Analytical skills, and the ability to apply legal analysis to different fact patterns; and
Negotiation skills
Language Skills: Good command of English is mandatory (written and spoken), knowledge of Hindi is desirable.
