Job Description
The role requires close engagement with Board members, promoters, senior leadership, regulators, and external stakeholders while ensuring the highest standards of governance and statutory compliance. Key Responsibilities Corporate Secretarial & Governance Lead the secretarial and governance function for listed and unlisted group companies in India and overseas. Ensure compliance with the Companies Act, SEBI regulations, Listing Obligations and Disclosure Requirements (LODR), FEMA guidelines, and other statutory requirements.
Manage Board Meetings, Committee Meetings, AGMs, EGMs, and shareholder-related matters. Draft and maintain agendas, minutes, board resolutions, governance reports, and statutory records. Advise the Board and senior management on corporate governance, regulatory matters, and compliance risks.
Drive implementation of governance best practices across the group. IPO & Listing Management Lead end-to-end IPO and stock exchange listing processes including due diligence, documentation, regulatory coordination, and listing execution. Coordinate with merchant bankers, legal advisors, auditors, registrars, stock exchanges, and regulatory authorities.
Review and support preparation of DRHP/RHP, offer documents, disclosures, and listing-related documentation. Ensure adherence to post-listing compliances and disclosure requirements. LODR & SEBI Compliance Ensure full compliance with SEBI (LODR) Regulations and stock exchange requirements.
Manage corporate disclosures, insider trading compliances, board composition requirements, and governance reporting. Monitor regulatory changes and implement required compliance measures across group entities. Handle secretarial audits, annual compliance certifications, and regulatory inspections.
Related Party Transactions (RPT) Oversee end-to-end compliance and governance related to Related Party Transactions (RPTs). Ensure RPT approvals, disclosures, arm’s length assessments, and audit committee/board/shareholder compliances are completed in line with SEBI and Companies Act requirements. Work closely with finance, legal, taxation, and business teams to ensure proper governance and documentation of RPTs.
Develop and strengthen RPT monitoring and reporting frameworks across the group. Group Company Management – India & Overseas Manage governance and compliance for multiple domestic and international subsidiaries/group entities. Coordinate with overseas legal and compliance teams for local statutory and governance matters.
Support cross-border restructuring, mergers, acquisitions, and strategic corporate initiatives. Standardize governance processes and reporting structures across the group companies. Stakeholder & Regulatory Management Act as the key interface with Board Members, Independent Directors, Investors, Auditors, Regulators, and external advisors.
Liaise with SEBI, Stock Exchanges, ROC, RBI, and other regulatory authorities. Support investor relations and shareholder communication activities. Leadership Responsibilities Lead and mentor the secretarial and compliance team across group entities.
Strengthen compliance systems, governance controls, and risk management frameworks. Support senior leadership on strategic corporate and governance initiatives. Desired Candidate Profile Qualified Company Secretary with 15 years of experience in listed manufacturing companies.
Mandatory experience in IPO/listing processes and post-listing compliance management. Strong hands-on exposure to SEBI LODR regulations and Related Party Transactions (RPT). Experience managing multiple group companies in India and international markets.
Deep understanding of Companies Act, SEBI regulations, FEMA, corporate governance, and statutory compliance. Strong exposure to Board management and engagement with senior leadership teams. Excellent drafting, analytical, communication, and stakeholder management skills.
Ability to manage complex multi-entity and multi-jurisdiction governance structures.
