We are seeking an experienced and business-oriented Senior Legal Counsel / Senior Legal Manager with 8–10 years of post-qualification experience in contract management, legal advisory, and contract lifecycle management (CLM). The ideal candidate will have extensive experience in drafting, reviewing, negotiating, and managing a wide range of commercial contracts while collaborating closely with business, sales, procurement, and leadership teams.
This role requires a strong understanding of contract management processes, risk assessment, compliance requirements, and legal operations within a fast-paced technology-driven environment.
- Draft, review, negotiate, and finalize a wide range of commercial agreements, including:
- Master Service Agreements (MSAs)
- Software License Agreements
- SaaS Agreements
- Non-Disclosure Agreements (NDAs)
- Vendor and Procurement Contracts
- Partnership Agreements
- Statements of Work (SOWs)
- Data Processing Agreements (DPAs)
- Service-Level Agreements (SLAs)
- Provide practical legal advice and risk-based recommendations during contract negotiations.
- Ensure contracts comply with applicable laws, regulations, and internal policies.
- Lead and oversee end-to-end contract lifecycle processes from request initiation to execution and renewal.
- Develop and maintain contract templates, playbooks, clause libraries, and approval workflows.
- Drive adoption and optimization of CLM platforms and legal automation tools.
- Monitor contract obligations, milestones, renewals, and compliance requirements.
- Identify and mitigate legal, commercial, and operational risks.
- Advise stakeholders on contractual rights, obligations, and dispute avoidance strategies.
- Support business teams on legal matters related to sales, procurement, partnerships, and operations.
- Assist in handling legal notices, disputes, and regulatory matters when required.
- Collaborate closely with sales, finance, procurement, compliance, and leadership teams.
- Act as a trusted legal advisor to internal stakeholders.
- Support customer negotiations and complex enterprise deals.
- Establish and improve legal processes, governance frameworks, and best practices.
- Ensure compliance with data privacy, information security, and industry regulations.
- Conduct contract and compliance audits as required.
- Bachelor's Degree in Law (LL.B.); LL.M. preferred.
- 8–10 years of relevant legal experience.
- Strong experience in commercial contract drafting, review, and negotiation.
- Hands-on experience working with Contract Lifecycle Management (CLM) systems.
- Experience handling technology, SaaS, software licensing, and enterprise contracts preferred.
- Strong understanding of corporate, commercial, and contract law.
- Excellent written and verbal communication skills.
- Ability to balance legal risk with business objectives.
- Strong stakeholder management and negotiation skills.
- Experience working in a LegalTech, SaaS, technology, or enterprise software company.
- Familiarity with AI-driven legal solutions and contract automation tools.
- Experience creating contract playbooks, clause libraries, and workflow automation processes.
