Job Description
The Company Secretary shall be responsible for ensuring compliance with the provisions of the Companies Act, 2013, applicable corporate laws, secretarial standards, and other regulatory requirements. The incumbent will act as a key advisor to the Board of Directors on corporate governance matters and ensure effective management of all secretarial and legal compliance functions of the Company.
Key Responsibilities
Secretarial & Corporate Compliance
- Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable laws and regulations.
- Organize and manage Board Meetings, Committee Meetings, and General Meetings.
- Prepare and maintain notices, agendas, minutes, and statutory records.
- File statutory forms, returns, and disclosures with the Registrar of Companies (ROC) and other regulatory authorities.
- Maintain statutory registers, records, and corporate documents.
- Handle matters relating to appointment, resignation, and changes in Directors and Key Managerial Personnel.
Corporate Governance
- Advise the Board and management on corporate governance and regulatory matters.
- Ensure implementation of good governance practices and compliance frameworks.
- Monitor changes in corporate laws and advise management on their implications.
Legal & Regulatory Matters
- Coordinate with legal counsel on litigation, contracts, notices, and legal documentation.
- Review agreements, MOUs, and other legal documents from a compliance perspective.
- Manage responses to regulatory authorities and government departments.
NBFC compliances
- Preparing and filing DNBS returns at CIMS Portal
- Preparing and filing of fortnightly returns to CIC Companies
- Preparation of policies as per RBI regulations issued from time to time
- Other Complainces as RBI directions, regulations for NBFC -ND Companies
Other Responsibilities
- Maintain custody of corporate records and common seal (if applicable).
- Coordinate secretarial audits and compliance reviews.
- Support due diligence exercises, inspections, and audits.
- Undertake any other assignments entrusted by the management from time to time.
Qualification & Experience
Essential Qualification
- Member of the Institute of Company Secretaries of India (ICSI).
Experience
- 2-3 years of post-qualification experience in corporate secretarial and compliance functions.
- Experience in handling closely held/private companies will be preferred.
Key Skills
- Strong knowledge of the Companies Act, 2013 and allied laws.
- Excellent drafting and communication skills.
- Ability to independently handle Board and shareholder matters.
- Sound understanding of corporate governance principles.
- Proficiency in MCA filings and compliance management.
- Strong organizational and interpersonal skills.
- Ability to maintain confidentiality and professional integrity.
