Job Description

Brick & Bolt is seeking a sharp, detail-oriented Manager - Legal & Compliance to join our Legal function in Bengaluru. This is a replacement hire for a role that has been central to our legal operations. The ideal candidate brings a dual foundation in Company Secretarial practice and Law (CS + LLB), with hands-on experience managing corporate compliance, contracts, regulatory filings, and legal risk in a fast-growing startup or technology-driven company.\n\nKey Responsibilities:\nEnsure end-to-end compliance with the Companies Act, 2013 and all MCA/ROC filing requirements.\nMaintain statutory registers, minutes books, and other secretarial records.\nManage annual filings, board and shareholder meeting documentation, and Director KYC compliances.\nLiaise with ROC, MCA, and other statutory authorities.\nMonitor regulatory developments and ensure organizational compliance with applicable laws and regulations.\nDraft, review, negotiate, and manage a wide range of agreements, including: Agreements, Contractor Agreements, Customer Construction Agreements, Non-Disclosure Agreements (NDAs), Memorandums of Understanding (MoUs), Partnership Agreements\nMaintain a centralized contract repository and track renewals, obligations, and contract expiries.\nAdvise internal stakeholders on contractual risks and obligations.\nIdentify, assess, and mitigate legal and compliance risks across business operations.\nProvide legal opinions and advisory support to leadership on strategic business decisions.\nSupport business expansion initiatives and regulatory assessments for new markets and geographies.\nEnsure timely implementation of legal and regulatory updates.\nEnsure compliance with labour laws, including:Provident Fund (PF), Employees' State Insurance (ESI), Shops & Establishments Act, Contract Labour (Regulation & Abolition) Act\nSupport HR in employment contracts, employee policies, and workplace compliance initiatives.\nManage POSH compliance and related documentation.\nMonitor and ensure adherence to applicable regulations across operational states.\nSupport business and operations teams in understanding and implementing regulatory requirements.\nEnsure compliance with RERA and other sector-specific regulations.\nSupport compliance with the Digital Personal Data Protection Act (DPDPA), 2023 and IT Act requirements.\nReview and update privacy policies, terms of use, and data processing agreements.\nEnsure compliance for consumer-facing applications, websites, and digital platforms.\nDevelop and maintain compliance trackers, checklists, SOPs, and governance frameworks.\nCoordinate internal and external compliance audits.\nConduct awareness sessions and training programs on legal and compliance obligations.\n\nQualifications & Experience\nMandatory:\nQualified Company Secretary (CS) from ICSI.\nLLB from a recognized university.\nExperience\nMinimum 4 years of post-qualification experience in Legal & Compliance.\nPrior experience in Real Estate, Construction, Technology, or Startup environments will be preferred.\nRequired Knowledge & Skills\nStrong knowledge of: Companies Act, 2013, RERA, Labour Laws, FEMA (Basic Understanding), Consumer Protection Act, Digital Personal Data Protection Act (DPDPA), 2023\nExcellent contract drafting, negotiation, and legal documentation skills.\nStrong analytical, problem-solving, and stakeholder management capabilities.\nAbility to work independently in a dynamic and fast-paced environment.\nTools & Systems\nMCA21 Portal, RERA Portals, Contract Management Tools, MS Office Suite, Google Workspace\n\nPreferred Candidate Profile\nStrong corporate secretarial and legal compliance background.\nExperience handling multi-state regulatory compliance.\nProven ability to partner with leadership and business teams on legal and compliance matters.\nStrong attention to detail and excellent communication skills.
