Role: Company Secretary (Qualified) for Mehta & Mehta CS - Kandivali\nLocation: Kandivali, Mumbai\nExperience: 5–6 Years\nQualification: Qualified Company Secretary (ACS)\nIndustry Preference: Practicing Company Secretary (PCS) Firm Background\nJob Description :\nWe are seeking a qualified and experienced Company Secretary to manage the secretarial, corporate governance, and FEMA compliance functions for multiple Private Limited Companies. The ideal candidate should have 5–6 years of post-qualification experience, preferably from a reputed PCS firm, with strong exposure to handling end-to-end secretarial compliances and FEMA-related matters.\nKey Responsibilities\nSecretarial & Corporate Compliance\nIndependently handle secretarial compliances of Private Limited Companies.\nConduct and manage Board Meetings, Committee Meetings, and General Meetings.\nDraft agendas, notices, resolutions, minutes, and other secretarial documents.\nEnsure compliance with the provisions of the Companies Act, 2013 and applicable rules.\nMaintain statutory registers, records, and corporate documents.\nManage ROC filings including forms related to incorporation, appointment/resignation of directors, allotment of shares, annual filings, and other event-based compliances.\nLiaise with regulatory authorities, consultants, auditors, and legal professionals as required.\nFEMA & RBI Compliances\nHandle FEMA compliances related to foreign investments and overseas transactions.\nPreparation and filing of FC-GPR, FC-TRS, LLP-I, LLP-II, FLA Return, and other RBI reporting requirements.\nAssist in foreign investment transactions, share transfers, and cross-border compliance matters.\nCoordinate with Authorized Dealer (AD) Banks and RBI for FEMA-related submissions and approvals.\nMonitor changes in FEMA regulations and ensure timely compliance.\nCorporate Advisory\nProvide guidance on corporate governance and regulatory matters.\nSupport restructuring, capital infusion, share allotment, and other corporate actions.\nConduct compliance reviews and ensure adherence to statutory requirements.\nCandidate Profile\nQualified Company Secretary (ACS) with 5–6 years of relevant experience.\nPrior experience in a PCS firm is highly preferred.\nStrong knowledge of Companies Act, 2013, Secretarial Standards, FEMA Regulations, and RBI compliances.\nExperience in handling multiple Private Limited Companies independently.\nGood drafting, communication, and stakeholder management skills.\nProficient in MCA, RBI FIRMS Portal, and MS Office applications.\nAbility to work independently and manage multiple assignments simultaneously.\nCandidates with less than / minimum one month notice period only apply.\nPreferred Skills\nExposure to foreign investment transactions and cross-border structuring.\nStrong analytical and problem-solving abilities.\nExcellent drafting and documentation skills.\nAbility to handle client interactions and advisory assignments effectively.
