Job Summary

We are looking for a seasoned and execution-oriented Company Secretary with 10+ years of experience, preferably from a reputed PCS firm, to lead and manage secretarial compliance and corporate law matters for a diverse portfolio of entities including Private Limited Companies, Public Limited Companies, Public Unlisted Companies, and LLPs.

The role requires strong expertise in execution, regulatory filings, corporate actions, and client servicing, with the ability to independently handle complex assignments under the Companies Act, 2013, LLP Act, FEMA, and other allied laws.

Key Responsibilities

Secretarial Compliance & Corporate Actions

  • Independently manage end-to-end secretarial compliances for Private Limited Companies, Public Limited Companies, Public Unlisted Companies, and LLPs.
  • Draft and finalize notices, agendas, minutes, resolutions, reports, and other corporate documents.
  • Ensure timely filing of annual, event-based, and statutory forms with MCA and other regulatory authorities.
  • Maintain statutory registers, records, and secretarial databases.
  • Execute corporate actions including:
  • Incorporation of companies and LLPs
  • Change in capital structure
  • Rights issue, preferential allotment, private placement
  • Transfer and transmission of shares
  • Appointment and resignation of directors and KMPs
  • Shifting of registered office
  • Alteration of MOA and AOA
  • Conversion of entities
  • Strike-off and closure assignments

Regulatory Compliance

  • Ensure compliance with the Companies Act, 2013, LLP Act, Secretarial Standards, and applicable rules.
  • Review compliance status and identify potential non-compliance risks.
  • Handle regulatory correspondence and representations before ROC and other authorities.
  • Coordinate with auditors, legal advisors, consultants, and regulatory bodies.

FEMA & Allied Laws

  • Manage FEMA and RBI-related compliances.
  • Handle filings such as FC-GPR, FC-TRS, FLA Returns, ODI-related compliances, and foreign investment reporting.
  • Coordinate with AD Banks and regulatory authorities for foreign investment transactions.

Secretarial Audit & Due Diligence

  • Lead and execute secretarial audits, compliance audits, and due diligence assignments.
  • Prepare audit reports, compliance certificates, and management reports.
  • Support transaction-related due diligence exercises.

Client Management

  • Act as a key point of contact for clients on corporate law and compliance matters.
  • Provide practical solutions and execution support for routine and complex secretarial matters.
  • Manage multiple client engagements while ensuring timely delivery and quality standards.

Team Leadership

  • Guide and mentor junior Company Secretaries, Executives, and Articles.
  • Review work prepared by team members and ensure accuracy and compliance.
  • Drive process improvements and operational efficiencies within the execution team.

Candidate Profile

  • Qualified Company Secretary (ACS/FCS) with 10+ years of relevant post-qualification experience.
  • Prior experience in a reputed PCS firm is mandatory.
  • Strong hands-on experience in handling Private Limited, Public Limited, Public Unlisted Companies, and LLP compliances.
  • Thorough knowledge of Companies Act, 2013, LLP Act, FEMA, Secretarial Standards, and MCA procedures.
  • Experience in secretarial audits, due diligence, and corporate restructuring assignments.
  • Excellent drafting, analytical, and communication skills.
  • Ability to independently manage assignments and client relationships.

Preferred Skills

  • Exposure to mergers, demergers, restructuring, and transaction advisory assignments.
  • Strong project management and execution capabilities.
  • Leadership experience in managing teams and client portfolios.
  • Proficiency in MCA V3 Portal, RBI FIRMS Portal, and MS Office applications.
