Job Description
About the Company
We are seeking a qualified and detail-oriented Company Secretary to ensure compliance with corporate governance, statutory regulations, and legal requirements. The ideal candidate will be responsible for managing board meetings, maintaining statutory records, supporting regulatory filings, and advising management on corporate compliance matters.
About the Role
Key Responsibilities
- Ensure compliance with the provisions of the Companies Act, SEBI regulations (if applicable), and other statutory requirements.
- Prepare and maintain statutory registers, records, and corporate documentation.
- Organize and coordinate Board Meetings, Committee Meetings, and Annual General Meetings (AGMs).
- Draft agendas, notices, resolutions, and minutes of meetings.
- Handle ROC filings, annual returns, and other regulatory submissions within prescribed timelines.
- Liaise with regulatory authorities, auditors, legal advisors, and stakeholders.
- Support due diligence, fundraising, M&A, and investment-related documentation.
- Monitor changes in corporate laws and advise management on compliance requirements.
- Assist in implementing corporate governance best practices.
- Manage ESOP documentation and shareholder-related matters.
Qualifications
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI).
- 2–6 years of relevant experience in corporate compliance and secretarial functions.
- Strong knowledge of the Companies Act, corporate governance, and regulatory compliance.
- Experience with ROC filings, board processes, and statutory reporting.
- Excellent drafting, communication, and organizational skills.
- Proficiency in MS Office and compliance management tools.
