Statement of Work
Scope of Services:
Vendor shall comply and provide all services in accordance with the Agreement and the following requirements in this SOW.Vendor shall provide Client with software engineering services to deliver an existing Application that is currently .Net Framework 4.8 compatible to be fully functional with latest stable .Net version (exact version to be decided based on project commencement date).
- Implement the changes that have been identified by Client's product and development team to deliver this .Net upgrade.
- The work is to be carried out in close supervision with Client's senior team.
- The development process should be done using Client suggested Agile and ALM process
- Developers are to implement unit and integration tests where it is possible.
- Client's product and test team will contribute with additional manual UATs (User acceptance tests). This is not a replacement of unit tests and should be carried out in conjunction with unit tests.
- The final deliverable would be the application with all the projects that are successfully targeting agreed upon .NET version, is able to build and run. Satisfactory delivery will be subject to evaluation by means of thorough testing.

Assumptions:
Parties agree that the following assumptions are valid and acceptable:- Requirements - Vendor shall deliver requirements as per the instructions and communication received from the Customer in accordance as defined in the SOW. Customer can revise requirements that the Vendor team shall implement, however, the revision is subject to the feasibility which shall be discussed with Vendor before such revision. Vendor resource should report to Client office at a location to be agreed upon daily for the entire duration of the project. Vendor resource should participate in any project related meetings and discussions when required.
- Agile Development - Vendor shall utilize the Client agile development approach (Client SDLC - Appendix 1) to deliver the deliverables for this SOW. Customer shall be responsible for providing the Vendor team with the prioritized backlog of tasks to be completed. Vendor shall comply with all Agile ceremonies and standards.
- Project Management - Client shall be responsible for providing project managers/ scrum masters to manage overall delivery across the Vendor resources pertaining to this SOW. The project managers shall be responsible for facilitating the Agile process, including daily standups, sprint planning, backlog grooming and sprint review. Vendor resources will directly report to the specified Client Team Lead(s) and Scrum Masters who will be responsible for assignment of work, deliverables and day-to-day activities and tasks. Client will appoint a dedicated point of contact to Vendor.
- Risks and Issues - Management of risks and issues is the responsibility of the Client Project Management team. The Vendor team will raise any risks or issues to the Project Management team.
- Testing (Developer) - Client shall specify the overall way the Vendor developers shall test the code they create. It is generally expected that the Vendor developers shall be responsible for unit testing their code and that a separate pool of resources from Client shall be responsible for the complete testing of Vendor's Deliverables.
- Timely response to questions - It is expected that the Vendor developers shall regularly have questions on the specific way they are to complete their tasks, many of which would relate to the requirements or design for their tasks. Client shall be responsible for providing answers to these questions in a timely manner. Failure to provide responses to those questions in a timely manner may cause a delay in the project overall. A dedicated Teams channel will be available for live questions and discussions.
- Communication - The Vendor developers shall be available during the agreed to working hours via email and VoIP calling tools such as Teams or similar tools. These working hours will typically align with the working hours of the team the Vendor developers are collaborating with. If Client needs Vendor's resources to place phone calls to any international location, Client shall have the responsibility for providing a phone number that the Vendor resources can dial into without incurring international phone charges.
- Third Party Tools - Vendor shall have access to Client Development Environment and development and testing software as detailed in the Client SDLC (Appendix 1) and Information Security Policy
- Working Practices - Vendor resources shall work in collaboration with all required Client employees and approved third parties, including but not limited to all developers, consultants, and managers.
- Working Practices - Vendor resources shall join development discussions, daily reviews and meetings as requested by the Client Team Lead or other Client employees.
- Access to Systems - Client will provide access to the systems required to complete this project.
- Defect Remediation - All bugs raised will be prioritized by Client into the backlog and managed within the available capacity of the Vendor/Client team.
- Capacity - Will be limited to the resources listed in this SOW. If there is spare capacity Client will, at their discretion, either provide additional scope to consume the available capacity or reduce capacity by reducing the number of resources with a corresponding decrease in cost.
- Under this SOW, Vendor will not be provided or have access or rights in any way to store, use, process or copy, download, or export ( "handle") any Personally Identifiable Information (PII), Protected Health Information (PHI), or other personal data related to individuals that is subject of privacy laws, rules and regulations.
TERM
- Please reply with any questions by July 18 th , 2025.
- Vendor proposal to be submitted by July 25 th , 2025.
- The candidate interview may involve one to two rounds and will commence upon initial review/screening of CVs and any actual contract start date will be dependent on two candidates clearing the interview to Client's satisfaction.
- The Services will be initially for 5 months and shall tentatively commence on 1st September 2025 and services will end on 31st January 2026 (this depends on completion of all prior requirements and commencement date may change based on it).
