Role: Manager/Sr. Manager – Corporate Legal

We are seeking a highly skilled and experienced Manager/Sr. Manager - Corporate Legal with 5–7 years of post-qualification experience to join our team. The ideal candidate will be responsible for managing the full spectrum of legal and regulatory compliance matters, providing hands-on legal support to stakeholders, and mitigating corporate risk. This role requires excellent-but practical oriented legal drafting and review skills, quick response-fast decision making and action, exceptional commercial judgment, ability to translate business aspects into legal clauses, strong negotiation skills, very good oral and written communication skills and a deep understanding of corporate law, commercial contracts, and compliance frameworks.

Key Responsibilities

Commercial Contracts & Transactions

• Draft, review, and negotiate a wide variety of commercial agreements, including MSAs (Master Service Agreements), NDAs, vendor contracts, partnership agreements, and service level agreements (SLAs) in a cross border environment (supply of technology services and technology products agreements from India into UK, EU, USA, Japan etc).
• Analyze commercial terms and legal clauses to identify, assess, and mitigate contractual risks.
• Provide legal support for corporate transactions, including mergers, acquisitions, and restructuring activities.

Corporate Governance & Compliance

• Ensure the company adheres to all applicable domestic and international laws, regulations, and industry standards (e.g., data privacy, intellectual property, labor laws).
• Assist in corporate secretarial duties, including drafting board resolutions, minutes, and maintaining statutory registers.
• Develop, update, and implement internal corporate policies and procedures to ensure adherence to best governance practices.
• Manage and monitor external counsel on any litigation or regulatory actions, ensuring efficient and favorable outcomes.

Advisory & Internal Counsel

• Serve as a trusted legal advisor to various business units (e.g., Sales, HR, Finance, Operations) on legal issues impacting business strategy and day-to-day operations.
• Oversee the protection and management of the company's intellectual property portfolio (trademarks, copyrights).
• Conduct legal training for employees on compliance matters, contract management, and regulatory changes.

Required Skills:

• Bachelor/Master of Laws (LLB/LLM.) degree from a recognized institution.
• Experience: 5 to 7 years of relevant post-qualification experience in a corporate in-house legal department or a top-tier law firm focusing on corporate and commercial law.
• Strong demonstrable experience in drafting complex commercial contracts and managing corporate compliance programs.
• Excellent written and verbal communication, negotiation, and presentation skills.
• Proven ability to manage multiple priorities, analyze legal documents meticulously, and provide practical, risk-balanced legal solutions

Preferred Skills:

• Experience with Data Privacy laws (e.g., GDPR, CCPA, local data protection acts).
• Experience managing external counsel and budgets effectively
