Role Description
The Company Secretary & Head – Legal will lead all Secretarial and Legal functions for the organisation, ensuring full compliance with the Companies Act, 2013, SEBI Regulations, Listing Obligations and Disclosure Requirements (LODR), and other statutory requirements applicable to an Indian listed entity. The role includes advising the Board on governance matters, managing regulatory interactions, overseeing corporate legal affairs, and ensuring transparent and timely disclosures to stock exchanges and stakeholders.
Qualifications & Experience
- Qualified Company Secretary (CS) – ICSI member.
- Expertise in corporate governance, SEBI regulations & commercial law.
- Qualification: Bachelor’s degree in law (LLB)
- Experience: 2–4 years of relevant listed company experience.

A. Secretarial & Corporate Governance Responsibilities
1. Corporate Governance & Board Support
- Organise and manage Board, Committee and General Meetings in compliance with statutory requirements.
- Draft detailed Board agendas, notices, minutes, and resolutions.
- Advise the Chairperson and Directors on governance best practices.
- Ensure proper functioning and evaluation of the Board and its Committees.
2. Statutory & Regulatory Compliance
- Ensure compliance with Companies Act, 2013; SEBI (LODR); SEBI (PIT); Takeover, Insider Trading, Delisting, Buyback and Issue of Capital Regulations; FEMA; RBI & IBC.
- Oversee timely filing of statutory returns with MCA, SEBI, Stock Exchanges, RBI etc.
3. Listing Compliance & Investor Interface
- Manage stock exchange filings, corporate announcements and disclosures.
- Coordinate with Registrar & Transfer Agent (RTA).
- Handle investor queries, grievances and ensure compliance with SCORES.
- Support IR team with presentations and compliance inputs.
4. Corporate Actions
- Manage dividend declaration, share allotment, bonus, split, consolidation, buyback, ESOP administration.
- Monitor shareholding patterns and regulatory thresholds.
B. Legal Responsibilities
1. Legal Advisory & Compliance Management
- Lead all legal matters including contracts, corporate operations, litigation, IPR, labour laws and regulatory compliance.
- Advise senior management on business risks and legal strategy.
2. Contract Lifecycle Management
- Draft, vet and negotiate vendor agreements, customer contracts, NDAs, leases, SLAs, technology agreements and MoUs.
- Develop legal templates and ensure consistent risk protection.
3. Litigation Management
- Supervise litigation, arbitration and regulatory matters.
- Liaise with external legal counsel and authorities.
- Maintain litigation MIS and ensure timely filings/responses.
4. Mergers, Acquisitions & Corporate Restructuring
- Support due diligence, structuring, approvals and documentation.
- Manage compliance for mergers, JV, fund-raising and business transfers.
5. Policy Framework & Risk Management
- Establish legal policies, SOPs, checklists and governance frameworks.
- Support enterprise risk management initiatives.
C. Leadership & Stakeholder Management
- Lead Secretarial & Legal teams.
- Coordinate with Finance, HR, Operations, Compliance and Business Units.
- Liaise with regulators – MCA, SEBI, Exchanges, RBI, NCLT etc.
