Job Description

We are looking to hire a strong corporate lawyer with 8–9 years of post-qualification experience in IPO, Pre-IPO Advisory and M&A practice .


The role is intended for a lawyer who can advise high-growth companies, promoters, founders, investors and boards through the journey from private company to IPO readiness, while also supporting strategic M&A and investment transactions.


Key Responsibilities

  • Advise companies, promoters, investors and selling shareholders on IPOs and equity capital market transactions.
  • Assist with IPO execution, including legal due diligence, DRHP/RHP disclosures, offer documents, regulatory filings and transaction coordination.
  • Advise pre-IPO companies on IPO readiness, corporate restructuring, governance, cap table clean-up, shareholder arrangements and board-level preparedness.
  • Support companies on pre-IPO funding rounds, secondary transactions, strategic investments, acquisitions, business transfers and investor exits.
  • Review and negotiate transaction documents including share purchase agreements, shareholders’ agreements, investment agreements, business transfer agreements and related documents.
  • Work closely with merchant bankers, auditors, investors, founders, CFOs, GCs and other intermediaries.
  • Coordinate with internal teams on tax, regulatory, employment, IP, competition and disputes issues relevant to IPOs and M&A transactions.
  • Help build templates, checklists, playbooks and knowledge resources for IPO-readiness, capital markets and M&A transactions.


Candidate Profile:

The ideal candidate should have:

  • 8–9 years PQE in a leading law firm or strong in-house legal team.
  • Experience in IPOs, capital markets, M&A, private equity, venture capital or late-stage investment transactions.
  • Strong understanding of company law, SEBI regulations, corporate governance and transaction documentation.
  • Experience in legal due diligence, disclosure work and transaction management.
  • Ability to work with founders, promoters, investors, boards and senior management.
  • Strong drafting, negotiation, project management and client communication skills.
  • Entrepreneurial mindset and interest in helping build a differentiated practice.


Preferred Background:

Prior experience with IPOs, DRHP drafting, banker-side or issuer-side capital markets work or advising late-stage private companies will be highly valued. Experience in M&A or investment transactions involving technology, consumer, healthcare, manufacturing, fintech, SaaS or other growth sectors would also be useful.
