Role Overview
The AVP - Legal will be responsible for managing the organization's legal affairs across litigation, non-litigation, contract management, regulatory compliance, and legal advisory functions. The role requires extensive experience in drafting and negotiating commercial agreements, handling regulatory matters, and managing litigation involving financial market infrastructure institutions.
Key Responsibilities
Contract Management & Non-Litigation

Draft, review, negotiate, and finalize commercial contracts and legal documentation.
- Handle:
- IT & Technology Agreements
- Software Licensing Agreements
- Cloud Services Agreements
- IT Outsourcing Contracts
- Annual Maintenance Contracts (AMC)
- Vendor & Service Agreements
- Procurement Agreements
- Consulting Agreements
- Facility Management Agreements
- Non-Disclosure Agreements (NDAs)
- Regulatory and Compliance-related Agreements
- Identify and mitigate legal and commercial risks in contracts.
- Ensure contractual compliance with applicable laws, regulations, and company policies.
- Maintain standard contract templates and legal playbooks.
- Support contract lifecycle management including execution, renewals, amendments, and compliance monitoring.
- Work closely with Business, Procurement, Risk, Compliance, and Technology teams.
Litigation & Regulatory Matters

Manage litigation matters including:
- Civil Litigation
- Criminal Litigation
- Regulatory Proceedings
- Arbitration
- Online Dispute Resolution (ODR)
- Coordinate with external law firms and counsels.
- Review pleadings, affidavits, written statements, and legal notices.
- Ensure timely court filings and compliance with judicial directions.
- Track litigation through MIS reports and dashboards.
- Handle regulatory notices, investigations, and inquiries from authorities such as SEBI, RBI, and other regulators.
- Conduct legal research and provide litigation strategy support.
Legal Advisory & Compliance

Advise internal stakeholders on legal and regulatory matters.
- Provide legal opinions and risk-based recommendations.
- Conduct legal risk assessments and recommend mitigation measures.
- Monitor changes in laws, regulations, and regulatory frameworks impacting the business.
- Ensure compliance with SEBI regulations and other applicable regulatory requirements.
Ideal Candidate Profile

12-16 years of post-qualification legal experience.
- Strong exposure to BFSI, Capital Markets, Exchanges, Clearing Corporations, Depositories, NBFCs, Stock Broking, Asset Management, or other regulated financial institutions.
- Extensive experience in commercial contract drafting and negotiations.
- Strong litigation and regulatory handling experience.
- Working knowledge of SEBI, RBI, Companies Act, Contract Law, and commercial legal frameworks.
- Ability to interact with senior stakeholders and provide practical legal solutions.
