Key Responsibility
\n1. Legal Advisory
\n- \n
- Provide clear, timely, and practical legal advice to GCC teams while ensuring compliance with applicable Indian laws and regulations. \n
- Advise on matters relating to corporate governance, contracts, data protection, employment law, and regulatory compliance. \n
- Align legal support with GCC business priorities in India and global legal strategies. \n
- Protect and manage intellectual property rights, including trademarks, patents, copyrights, and trade secrets. \n
- Support business decisions by advising on transactions, liabilities, litigation risks, and legal rights and obligations. \n
- Assist in mergers, acquisitions, joint ventures, and strategic transactions, including due diligence and post-deal integration. \n
2. Contract Management
\n- \n
- Draft, review, and negotiate a wide range of legal documents, including contracts, agreements, Memoranda of Understanding (MoUs), Master Service Agreements (MSAs), and related Statements of Work/Work Orders. \n
- Conduct end-to-end contract lifecycle management, including risk assessment, negotiation support, compliance monitoring, and dispute resolution. \n
- Ensure all contractual arrangements comply with applicable laws, internal policies, and regulatory requirements while safeguarding the organization s legal and commercial interests. \n
3. Regulatory Compliance
\n- \n
- Ensure compliance with all applicable Indian laws and regulations, including the Companies Act, Competition Act, FEMA, RBI guidelines, FCPA, anti-corruption laws, Labour Codes, Digital Personal Data Protection Act, Information Technology Act, and other applicable statutes. \n
- Oversee secretarial and statutory compliance requirements for entities registered in India. \n
- Provide ongoing legal and regulatory guidance to the Board of Directors and CEO, including updates on legal and regulatory changes. \n
- Monitor and interpret evolving Indian laws and regulations, particularly those impacting the banking and financial services sector. \n
- Develop, implement, and maintain compliance frameworks and programs across the organization. \n
- Draft and review regulatory submissions, procurement contracts, IT and property agreements, engagement letters, settlement agreements, confidentiality agreements, MoUs, complaints, and responses to regulatory authorities. \n
- Ensure timely identification, assessment, investigation, and resolution of compliance issues. \n
4. Risk Management
\n- \n
- Identify, assess, and mitigate legal and regulatory risks across business operations. \n
- Develop and implement internal policies and procedures to minimize legal exposure. \n
- Review business activities, new products, and services to ensure compliance with competition laws and prevent anti-competitive practices. \n
5. Dispute Resolution
\n- \n
- Manage and resolve legal disputes, coordinating with external counsel as required. \n
- Represent the organization in legal proceedings where necessary. \n
- Respond to legal notices, queries, and correspondence in a timely and professional manner. \n
6. Liaison with Regulatory Authorities
\n- \n
- Maintain effective communication with regulatory bodies and government agencies. \n
- Ensure timely regulatory filings and prompt responses to inquiries and investigations. \n
7. Intellectual Property Management
\n- \n
- Oversee protection and enforcement of intellectual property, including trademarks, patents, copyrights, and trade secrets. \n
- Develop and implement IP strategy and manage IP-related disputes and risks. \n
