    Job Description

  • Organize and conduct Board, Committee, and General Meetings, including preparation of agendas, resolutions, and minutes, and ensure post-meeting compliances.
  • \n
  • Ensure compliance with Companies Act, 2013, Secretarial Standards, RBI regulations, and other applicable laws for holding and subsidiary companies.
  • \n
  • Prepare and file statutory returns, forms, and reports such as Annual Report, Directors' Report, and Corporate Governance Report; maintain statutory records and registers.
  • \n
  • Liaise with auditors, regulators, and statutory authorities like MCA, ROC, RBI, SEBI, and Stock Exchanges for compliance and governance matters.
  • \n
  • Advise management on corporate governance issues, including dividends, share issues, mergers, and takeovers, and respond to stakeholder queries.
  • \n
  • Manage FEMA-related filings (FC-GPR, FC-TRS, DI, FLA, APR, FIFP) and ensure compliance for overseas subsidiaries in coordination with external stakeholders.

  • Develop systems to monitor compliance risks and ensure timely resolution of governance and regulatory requirements.

    The Successful Applicant

    \n

    \n

    An ideal candidate would possess:

    \n
  • Company Secretary certification with strong knowledge of corporate laws and compliance.
  • \n
  • Proficient in Companies Act, 2013, Secretarial Standards, and allied Acts, Rules, and Regulations.
  • \n
  • Skilled in liaising effectively with external regulators, advisors, and internal business units.
  • \n
  • Strong understanding of capital account transactions and related processes.
  • \n
  • Proven ability to maintain accurate statutory records and registers and ensure error-free filing of returns and forms.
  • \n
  • Excellent organizational skills to manage multiple compliance tasks across subsidiaries and group companies efficiently.
