Job Description
Duties & Responsibilities
\nCompliance Strategy and Advisory
\nProvide expert compliance advice to the CS on a wide range of issues, including corporate governance, SEBI Regulations, Companies Act, Securities Laws, FEMA, Competition Law, secretarial standards and governance and compliance standards, mergers, and acquisitions, etc.
\nRegulatory Compliance
\nOversee the development and implementation of the organization's regulatory compliance programs on Corporate Laws and to ensure adherence to all relevant laws, regulations, secretarial standards and governance and compliance standards relating to secretarial compliance and governance.
\nMeetings Board / Committees / Trusts
\nPreparation for Board / Committee meetings, preparation of agenda notes, pre-meeting activities, post meeting compliances and monitoring, regulatory filings, stock exchange reporting etc. of CIL
\nCompliance of Foreign subsidiaries / group companies
\nWill be responsible for engaging with foreign consultants to monitor compliance of Foreign subsidiaries / group companies
\nRisk Management
\nIdentify potential compliance risks and develop strategies to mitigate these risks.
\nManage secretarial related litigation and other legal disputes, working closely with RTA, external counsel when necessary.
\nCorporate Governance
\nExtend strong and reliable support to CS to ensure the organization s governance framework complies with all Compliance and regulatory requirements both by CIL and its Subsidiaries.
