Job Summary
We are seeking an experienced Senior Manager - Legal (Project Finance) to manage legal aspects of project finance, debt financing, and infrastructure financing transactions. The candidate will work closely with business teams, lenders, financial institutions, and external counsel to ensure timely and effective transaction closure.
Key Responsibilities
- Draft, review, negotiate, and finalize Facility Agreements, Term Sheets, DTDs, Security Documents, Guarantees, Indemnities, and POAs.
- Provide legal advice on financing structures, commercial risks, obligations, and regulatory requirements.
- Manage legal due diligence, conditions precedent, security creation/perfection, execution, and transaction closing.
- Coordinate with lenders, banks/NBFCs, external counsel, finance, treasury, and business teams.
- Identify and mitigate legal risks in financing transactions.
- Support amendments, waivers, refinancing, restructuring, and post-closing requirements.
- Maintain transaction documentation, trackers, closing checklists, and records.
Qualifications & Experience
- LL.B. is mandatory; LL.M. / Banking & Finance qualification is an advantage.
- 6+ years of relevant experience in Project Finance, Banking & Finance, Infrastructure Financing, or Corporate Legal Advisory.
- Strong experience in financing and security documentation, contract negotiation, and lender coordination.
- Strong understanding of project finance structures, debt financing, and security creation.
